NOTICES

Applications and Requests for Plan Approval of a Mutual-to-Stock Conversion Including the Subsequent Acquisition of Control

   Mercer Mutual Insurance Company (Mercer Mutual), a Pennsylvania domiciled mutual casualty insurance company, submitted a Plan of Conversion which provides for conversion from a mutual casualty insurance company to a stock casualty insurance company. The filing, received on January 13, 2003, was made under the Mutual-to-Stock Conversion Act (40 P. S. §§ 911-A--929-A).

   In furtherance to the transaction, Mercer Insurance Group, Inc., a Pennsylvania domiciled corporation, submitted a request for approval to acquire control of all of the authorized capital stock of Mercer Mutual upon consummation of the previously referenced conversion. The filing, received on January 13, 2003, was made under the Insurance Holding Companies Act (40 P. S. §§ 991.1401--991.1413).

   Persons wishing to comment on the grounds of public or private interest are invited to submit a written statement to the Insurance Department (Department). Each written statement must include the name, address and telephone number of the interested party, identification of the application to which the statement is addressed and a concise statement with sufficient detail and relevant facts to inform the Department of the exact basis of the statement.    Comments received will be part of the public record regarding the filings. The public comment period will remain open for an indefinite period of time to afford persons ample opportunity to provide written comments on the filings to the Department. A subsequent announcement will appear in the Pennsylvania Bulletin to provide notice of closing of the public comment period.

   The Department plans to conduct a public informational hearing. The exact date and location will be announced in this publication when determined.
