Application by Independence Blue Cross for Approval to Restructure Its Insurance Holding Company System

 Independence Blue Cross has filed an application for approval to restructure its holding company system resulting in a change of control of Independence Blue Cross and its Pennsylvania domiciled insurance company subsidiaries. The affected subsidiaries include: AmeriHealth HMO, Inc., Vista Health Plan, Inc., Keystone Health Plan East, Inc., Region 6 Rx Corp., QCC Insurance Company, Inter-County Health Plan, Inc., Inter-County Hospitalization Plan, Inc. and CBHNP Services, Inc. The change of control will result from a Plan of Division of Independence Blue Cross. The division of a nonprofit corporation is provided for in 15 Pa.C.S. § 5951 (relating to division authorized). The filing was made under Article XIV of The Insurance Company Law of 1921 (40 P. S. §§ 991.1401—991.1413).

 Persons wishing to comment on the application are invited to submit a written statement to the Insurance Department (Department) within 60 days from the date of this issue of the Pennsylvania Bulletin. Each written statement must include name, address and telephone number of the interested party; identification of the application to which the statement is addressed; and a concise statement with sufficient detail and relevant facts to inform the Department of the exact basis of the statement. Comments received will be part of the public record regarding the filing and will be forwarded to the applicant for appropriate response.
