Notice of Opportunity for Hearing and
Invitation to Protest

 Under 24 Pa.C.S. § 6503(e) (relating to certification of institutions), the Department of Education (Department) will consider the application for approval of a Certificate of Authority for Calvary Baptist Theological Seminary to amend its Articles of Incorporation.

 In accordance with 24 Pa.C.S. § 6503(e), the Department will act upon the application without a hearing, unless within 30 days after the publication of this notice in the Pennsylvania Bulletin a written request for public hearing is filed with the Department, along with a notice of intervention, a petition to intervene or protest in accordance with 1 Pa. Code §§ 35.23 and 35.24 (relating to protests) or 1 Pa. Code §§ 35.27—35.32 (relating to intervention).

 Petitions to intervene, protest and request for hearing shall be filed with the Division of Higher and Career Education, 333 Market Street, Harrisburg, PA 17126-0333 by 4 p.m. on or before the due date prescribed by this notice. Persons wishing to review the application should call (717) 783-8228 or write to the previous address to schedule a time for an in-office review. Duplicate copies of the application are not available.

Restated Articles of Incorporation

Calvary Baptist Theological Seminary,
Lansdale, Pennsylvania

A Domestic Nonprofit Corporation

 In compliance with the requirements of Section 5916 of the Nonprofit Corporation Law of 1988 (15 Pa.C.S.A. section 5916), the undersigned, desiring to amend and restate the amended Articles in their entirety, hereby certifies that:

 1. The name of the corporation is Calvary Baptist Theological Seminary, Lansdale, Pennsylvania.

 2. The address of the corporation's registered office is 1380 S. Valley Forge Road, Lansdale, Montgomery County, PA 19446.

 3. The corporation is incorporated under the Nonprofit Corporation Law of the Commonwealth of Pennsylvania for the following purpose or purposes:

 The objects and purposes of this corporation shall be non-profit, educational, religious and scientific:

 (a) To promote theological education; to train for the Christian Ministry; to properly equip preachers, missionaries, directors of Christian education, and other Christian workers for the performance of their respective duties to the glory of God and in order that the Work of God may be speedily proclaimed to all the nations of the earth;

 (b) To edit and publish such texts, pamphlets and other literature as shall grow out of or be in any manner connected with its objects and purposes and/or shall be of advantage or benefit thereto;

 (c) To send out deputations to study missions and other Christian efforts first hand upon the field;

 (d) To do such other and further things in connection with or appertaining to the objects and purposes above outlined as may be consistent therewith and/or as may be reasonably necessary or proper in furthering the Christian religion and spreading the Gospel.

 The corporation does not contemplate pecuniary gain or profit, incidental or otherwise.

 4. The term for which the corporation is to exist is perpetual.

 5. The corporation is organized upon a non-stock basis.

 6. The corporation shall have members.

 7. Intentionally left blank.

 8. The name and address of the original incorporators were: Calvary Baptist Church of Lansdale, Pennsylvania, Valley Forge Road, Lansdale, Pennsylvania; Rev. E. Robert Jordan, 1450 Valley Forge Road, Lansdale, Pennsylvania

 9. This organization is organized exclusively for and will be operated exclusively for one or more of the purposes set forth in Paragraph 3, being educational, religious and scientific in nature.

 10. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article 3 hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in any political campaign on behalf of any candidate for public office.

 11. Upon dissolution of the corporation, the Board of Trustees shall, after paying or making provision for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation by distributing such assets to Calvary Baptist Church of Lansdale Pennsylvania, as long as said organization is and remains a 501(c)(3) tax exempt organization. Should the aforestated organization not be in existence at the time of the dissolution of the corporation or should it not be, or remain, a 501(c)(3) tax exempt organization as of that time, then all assets of the corporation shall be disposed of exclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), which shall be of like faith and practice as the corporation, as the Board of Trustees shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the County in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine which are organized and operated exclusively for such purposes.

 12. This organization will not discriminate against applicants and students on the basis of race.

 13. This Seminary is authorized by the Commonwealth of Pennsylvania, Department of Education to award the professional degree of Master of Divinity (M. Div.) to students who successfully complete the prescribed program of study, and such other degrees as may be approved from time to time by the duly constituted legal authority.

 14. The corporation shall have at all times a minimum protective endowment, or contributed services of financial support equivalent in value to such endowment, of not less than Five Hundred Thousand ($500,000.00) Dollars, beyond all indebtedness and assets invested in buildings and apparatus, for the exclusive purpose of promoting instruction in the Seminary.

 15. The faculty of the Seminary shall consist of at least three (3) regular professors who devote all their time to instruction in the special branch for which the Seminary is established, and two (2) or more instructors or fellows in that particular branch, who shall be provided to assist in the instruction to be given the students, for the promotion of original investigation and in the development and growth of the special branch of science to which the Seminary is devoted.

 16. The qualifications for admission of students to the Seminary and the courses of study to be pursued in the Seminary shall be as prescribed in the most recent catalogue of the Seminary issued from time to time.

 17. Calvary Baptist Theological Seminary of Lansdale, Pennsylvania shall be under the management, direction, government and control of a Board of Trustees, which shall consist of no less than sixteen (16) and no more than thirty-two (32) members. These members shall be elected and serve as provided in the By-Laws. Meetings of the Board of Trustees shall be called, constituted and conducted at such times and in such manner as the By-Laws provide.

 18. These Articles of Incorporation may be amended or altered at any regular or special meeting by the consent of two-thirds (2/3) of the Board of Trustees, provided that such amendment or alteration shall have been given to each member of said Board at least two weeks prior to such meeting when the amendment shall be acted upon, setting forth the substance of the amendment or alteration provided.
