Transfer of Assets

   A-310189F0008 and A-310751F0005. Allegiance Telecom, Inc. and Qwest Communications International, Inc. Joint application of Allegiance Telecom, Inc. and Qwest Communications International, Inc. for approval of the assignment of assets whereby substantially all of the assets of Allegiance Telecom of Pennsylvania, Inc., the Pennsylvania operating subsidiary of Allegiance Telecom, Inc., will be transferred to Qwest Communications Corporation, an indirect wholly owned subsidiary of Qwest Communications International, Inc.

   Formal protests and petitions to intervene must be filed in accordance with 52 Pa. Code (relating to public utilities). Filings must be made with the Secretary, Pennsylvania Public Utility Commission, P. O. Box 3265, Harrisburg, PA 17105-3265, with a copy served on the applicant, on or before February 23, 2004. The documents filed in support of the application are available for inspection and copying at the Office of the Secretary between 8 a.m. and 4:30 p.m., Monday through Friday, and at the applicant's business address.
